Terms of Service
1. Definitions & Interpretation
"Service" means the HyperWhale software, interfaces, and related features made available by the HyperWhale team.
"Platform" means the websites, dashboards, APIs, and supporting systems used to access the Service.
"User" means any person or entity that accesses or uses the Service. "Third-Party Services" means exchanges, wallets, market data providers, and other external infrastructure not operated by the HyperWhale team.
2. Eligibility
You must be at least 18 years old, have legal capacity to enter binding agreements, and be permitted under applicable law to use the Service.
You are responsible for ensuring that your use of the Service complies with all laws, sanctions requirements, and regulatory rules applicable to your jurisdiction.
3. Service Scope
The Service provides software tools for market discovery, signal observation, copy-trading configuration, and execution automation based on user-defined settings.
The Service is non-custodial and software-only. The HyperWhale team does not hold, custody, or control your digital assets and does not act as your broker, exchange, or investment manager.
4. User Responsibilities
You are solely responsible for wallet security, private key management, access credentials, and all activity initiated through your accounts, devices, and integrations.
You must provide accurate information, maintain appropriate risk settings, and review your configuration regularly, especially before enabling live execution.
5. Prohibited Conduct
You may not use the Service for unlawful, abusive, fraudulent, manipulative, or sanctioned activity, including market abuse, money laundering, or deceptive conduct.
You may not interfere with platform integrity, bypass safeguards, misuse APIs, scrape unauthorized data, reverse engineer restricted components, or attempt unauthorized access to systems or user data.
6. No Investment Advice
The Service and all related information are provided for software and informational purposes only and do not constitute investment, legal, accounting, or tax advice.
No content, leader metric, strategy insight, or market data should be treated as a recommendation to buy, sell, or hold any asset.
7. Market & Execution Acknowledgement
You acknowledge that crypto markets are volatile and that execution outcomes can differ from expected outcomes due to slippage, latency, liquidity changes, and infrastructure timing.
You accept full responsibility for all trading decisions and outcomes, including losses resulting from copied strategies, manual changes, configuration errors, and market events.
8. Fees, Costs, and Taxes
You are responsible for all third-party fees, including exchange fees, network/gas fees, spreads, and any other transaction-related charges.
You are solely responsible for tax reporting and payment obligations arising from your activity. The HyperWhale team does not provide tax filing services.
9. Third-Party Dependencies
The Service depends on third-party platforms and infrastructure that are outside the HyperWhale team's control.
Service quality, data freshness, execution behavior, and availability may be affected by third-party outages, policy changes, delistings, suspensions, degraded APIs, or provider restrictions.
10. Service Availability, Beta Limitations, and Changes
The Service may include beta or pre-release capabilities and is provided on an 'as available' basis, which may include interruptions, defects, or evolving feature behavior.
The HyperWhale team may modify, suspend, or discontinue any feature, integration, or service component at any time, with or without prior notice where permitted by law.
11. Suspension and Termination
The HyperWhale team may suspend, restrict, or terminate access if required for security, legal compliance, abuse prevention, sanctions control, technical protection, or policy enforcement.
You may stop using the Service at any time. Suspension or termination does not remove obligations accrued prior to termination, including payment, indemnity, and legal compliance obligations.
12. Intellectual Property
All rights, title, and interest in the Service, software, branding, and platform content remain with the HyperWhale team or its licensors.
Subject to these Terms, you receive a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purposes.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided 'as is' and 'as available' without warranties of any kind, whether express, implied, or statutory.
The HyperWhale team disclaims warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, and error-free operation.
14. Limitation of Liability
To the maximum extent permitted by law, the HyperWhale team is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunities, or reputational harm.
If liability is established, aggregate liability is limited to the greater of (a) amounts you paid directly to the HyperWhale team for the Service in the 12 months before the claim, or (b) USD 100.
15. Indemnification
You agree to defend, indemnify, and hold harmless the HyperWhale team and its affiliates, contributors, and service providers from claims, liabilities, losses, and costs arising from your use of the Service, your breach of these Terms, or your violation of law or third-party rights.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore, excluding conflict of laws principles.
Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be finally resolved by arbitration in Singapore under SIAC rules, by one arbitrator, with proceedings in English.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction where necessary to protect rights pending arbitration.
17. Changes to Terms
The HyperWhale team may update these Terms from time to time. Updated Terms become effective on publication unless otherwise stated.
Your continued use of the Service after updates are posted constitutes acceptance of the revised Terms.

Until a final legal entity profile is published, references to provider identity and contact point are made on a HyperWhale team placeholder basis.
